Dispute Resolution and Governing Law
1. Introduction
This Dispute Resolution and Governing Law Policy (“Policy”) outlines the methods and processes by which disputes arising between the Kitchenex Store and its customers will be addressed and resolved.
2. Governing Law
All matters arising out of or related to the use of the Kitchenex Store, including any sales or transactions, shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without giving effect to its conflict of law provisions.
3. Agreement to Arbitrate
You and the Kitchenex Store agree that any dispute, claim, or controversy arising out of or relating to this Policy or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Trinidad and Tobago, before one arbitrator. The arbitration shall be administered by the Trinidad and Tobago Dispute Resolution Center (TTDRC) pursuant to its rules.
4. Waiver of Class Action
Both you and the Kitchenex Store waive the right to bring any claim covered by this dispute resolution provision as a class, consolidated, representative, collective, or private attorney general action, or to join in any class, consolidated, representative, collective, or private attorney general action regarding any claim covered by this dispute resolution provision brought by anyone else.
5. Exception to Arbitration
Notwithstanding the above, both you and the Kitchenex Store acknowledge and agree that (i) disputes may arise which fall outside of the scope of the mandatory arbitration provision, and (ii) for any such disputes, as opposed to arbitration, the courts of Trinidad and Tobago will have exclusive jurisdiction.
6. Jurisdiction
For any disputes not subject to the arbitration clause contained herein, you agree that any dispute arising out of or in connection with your use of the Kitchenex Store or this Policy will be subject to the exclusive jurisdiction of the courts located in Trinidad and Tobago.
7. Amendments
The Kitchenex Store reserves the right to amend this Policy at any time. The date of the latest revision will appear at the top of this page. If we make significant changes, we will provide appropriate notice, including by, but not limited to, posting the revised Policy on our site.
